Jack Link’s $100,000 Canada Cup: Powered by Toronto Ultra Competition Official Contest Rules & Regulations THE OTHER TERMS AND CONDITIONS OUTLINED IN THESE CONTEST RULES. SEE BELOW FOR FULL CONTEST DETAILS. PARTICIPATION IN THIS CONTEST CONSTITUTES YOUR FULL AND UNCONDITIONAL ACCEPTANCE OF, AND AGREEMENT TO BE LEGALLY BOUND BY, THESE CONTEST RULES (THE “CONTEST RULES”). The Contest is conducted by OverActive Media Corporation, owners of Toronto Ultra (the "Administration"). • Description of Contest: The Jack Link’s $100,000 Canada Cup: Powered by Toronto Ultra Competition will occur during the Contest Period and involves a contest of skill amongst teams of eligible players participating in a Call of Duty®: Warzone® tournament utilizing the PlayStation®, Xbox®, or PC and other platform details, eligibility, and prizes as provided below. Your chance of winning the contest depends on your proficiency and skill in playing the game and also on the number of other Participants registered. The Administration has a total of 64 spots for teams to register for the Contest, the number of teams actually registered and eligible may vary. • Contest Period: The Contest begins at 3:00 p.m. Eastern Time (“ET”) on May 24th, 2021 and closes at 10:00pm ET on June 29th, 2021. (the “Contest Period”). • General Eligibility: To participate, a team of three individual players must be registered via direct invite from the Administration for the Main Event, or by entering the Qualifiers which can be found here: https://smash.gg/tournament/jack-link-s-jerky-day-qualifiers-powered-by-toronto-ultra-2

• There is no entrance fee or credits required to participate. Once registered via the link provided above, the team of players will be deemed “Participants” and subject to all of the terms and conditions set out in these Contest Rules. Participants will submit their personal information to the site listed above in order to register for the Contest, such information to be collected by the Administration By participating in the Contest, the entrant consents to the collection, use and disclosure of his/her personal information by the Administration for the purpose of administering the Contest, awarding the Prize and announcing the Winners as well as for promotional, advertising and publicity purposes by the Administration in any media relating to the Contest, and for future correspondence with you regarding our teams, our marketing and promotional activities and potentially from or about our sponsors. Should any player have questions regarding the collecting and handling of their personal information, they may contact [email protected]. • The Administration shall have, in its sole and absolute discretion, the right to determine the eligibility of any and all Participants. Players acknowledge that the eligibility determination of the Administration is final, and that the eligibility of any Participants may change at any time. • Player names. Players must use an acceptable name in the Jack Link’s $100,000 Canada Cup: Powered by Toronto Ultra Competition. If a Player does not use his or her legal name, Administration reserves the right to restrict or change a Player’s tag, handle, or other name in its sole discretion. Administration reserves the right to revoke the eligibility of any Player whose Activision ID or PlayStation ID or Xbox Gamertag is offensive, toxic, incorporates any Activision or unauthorized third party intellectual property, or is deemed to be inappropriate or unacceptable by Administration, to be determined at sole discretion of the Administration. Further naming requirements are: (a)Player names may not include a sponsor, company or commercial name. (b)Player names may not include a product name or description. (c)Player names may not include any words that are purely commercial, involve brands or other product or services descriptions, brands or commonly used names. (d) Player names must comply with these Rules. (e) Player names must not include celebrity names or monikers. (f) Players may not use names of Call of Duty League players or team names. • The Administration shall have the right at any time to require proof of identity and/or eligibility to participate in the Contest. Failure to provide such proof within a reasonable period of time may result in disqualification. All personal and other information supplied to the Administration for the purpose of this Contest must be truthful, complete, accurate and in no way misleading. • Platform. All matches will be played on PlayStation®, Xbox®, or PC (the “Console”). For the Jack Link’s $100,000 Canada Cup: Powered by Toronto Ultra competitors will be required to have an Activision account to connect to online services and compete. • Broadcasting. Each competitor must register with a valid streaming link so that their gameplay can be viewed live. Each competitor is responsible for having their gameplay showcased to the administration. Failure to provide gameplay may lead to disqualification from event. • Equipment. Players are to use PlayStation®4, Xbox®, or compatible controllers or compatible controllers for the Jack Link’s $100,000 Canada Cup: Powered by Toronto Ultra Competition or Mouse and Keyboard. Players may not use a turbo controller which allows a single button press to replicate pressing the button multiple times, or a keyboard with the macros. Players may not use a button macro controller which allows a single button press to perform a set of actions that would normally require the player to press multiple buttons. Teams found to be using ineligible equipment will be required to forfeit each game of the match in which the equipment was used. • Game. The featured title for (Event Name) Tournament will be Call of Duty®: Warzone® with the Game Mode “Trios”. Tournament Operations Jack Link’s Jerky Day Qualifiers: Powered by Toronto Ultra Qualifiers The Qualifiers will take place on May 24th (“Qualifier 1”) and June 12th (“Qualifier 2”). The Qualifiers will begin at 3pm ET/12pm PT/9pm CET, and participants are required to check in sixty (60) minutes prior in the Toronto Ultra Discord to the commencement of the Tournament that they are ready. Qualifiers Format • Teams will play as many Games of Battle Royale as possible during a time period of four hours. (the “Qualifier Period”). All Teams will have an unlimited number of attempts within the Qualifier Period. No New Games may be started, Fifteen (15) minutes prior to the end of the Qualifier Period (the “Qualifier Cutoff”). If a Team begins a Game after the Qualifier Cutoff, that Game will not count. Teams will earn points (“Points”) in each Game during the Qualifier Tournament Period according to the table below.

Game Results or Placement Points Earned (Per Team) (Table 2.1) • At the end of the Qualifier Period, each Team’s five (5) highest scoring Games (collectively, the “Qualifier Games”) will be added together to determine each Team’s final score (“Qualifier Score”). • The Top Two teams from Qualifier 1 and Qualifier 2 will be invited to compete in the Main Event on June 28th and June 29th. If a qualified team is unable to participate in the Main Event, the 3rd place team from that qualifier will fill the spot of that team in the Main Event. Tiebreakers • In the event of a tie between two (2) or more Teams, the tie will be broken using the following tiebreakers in the following in order of application:

  1. Total Victories in Time Limit within top games
  2. Total Kills in Time Limit within top games
  3. Total Damage in Time Limit within top games
  4. Total Score in Time Limit within top games

Jack Link’s $100,000 Canada Cup: Powered by Toronto Ultra The Twenty-Eight (28) invited teams with join the 4 teams from Qualifier 1 and Qualifier 2 in a 32 team Main Event to determine the Champion of (Event Name) The Tournament will take place on June 28th, 2021 (“Day One”) and June 29th ,2021 (“Day Two”). The Tournament will begin at 3pm ET/12pm PT/9pm CET, and participants are required to check in sixty (60) minutes prior in their team Discord to the commencement of the Tournament that they are ready. Day One Format • Teams will play as many Games of Battle Royale as possible during a time period of four hours. (the “Day One Tournament Period”). All Teams will have an unlimited number of attempts within the Day One Tournament Period. No New Games may be started, Fifteen (15) minutes prior to the end of the Day One Tournament Period (the “Day One Cutoff”). If a Team begins a Game after the Day One Cutoff, that Game will not count. Teams will earn points (“Points”) in each Game during the Day One Tournament Period according to Table 2.1. • At the end of the Day One Tournament Period, each Team’s five (5) highest scoring Games (collectively, the “D1 Eligible Games”) will be added together to determine each Team’s final score (“Day One Score”). Tiebreakers • In the event of a tie between two (2) or more Teams, the tie will be broken using the following tiebreakers in the following in order of application:

  1. Total Victories in Time Limit within top games
  2. Total Kills in Time Limit within top games
  3. Total Damage in Time Limit within top games
  4. Total Score in Time Limit within top games Day Two • The Top Sixteen (16) teams from the Day One Tournament Period will advance into the Day Two Tournament Period to determine the winner of the Tournament. The teams will have their scores reset from the Day One Tournament Period and begin at zero (0) points. The Teams will play as many games of Battle Royale as possible during a period of two hours (120 minutes). No New Games may be started Ten (10) minutes prior to the end of the Day Two Tournament Period (the “Day Two Tournament Period Cutoff”). If a Team begins a Game after the Day Two Tournament Period Portion Cutoff, that Game will not count. • At the end of the Day Two Tournament Period, each Team’s highest three (3) highest scoring Games will be added together to determine each Team’s final score. (“Day Two Tournament Period Score”) The eight (8) teams with the highest score will advance to the Playoff Portion of the tournament

Playoff Portion • The Top Eight (8) teams from the Day Two Tournament Period will advance into the Playoff Portion to determine the winner of the Tournament. The Teams will play as many games of Battle Royale as possible during a period of two and thirty minutes (150 minutes). The teams highest score from the Day Two Tournament Period will carry over into the Playoff Portion. (Example: Team Tommey scored totals of 95, 80, and 76 in the Day Two Tournament Period, his score of 95 will carry over into the Playoff Portion). • At the end of the Playoff Portion, each Team’s highest five (5) highest scoring Games will be added together to determine each Team’s final score. (“Playoff Portion Final Score”) Teams can replace their score from the Day Two Tournament Period if they achieve five (5) scores higher during the Playoff Portion. The team with the highest score during the Playoff Portion will be deemed as the victor of the Tournament. Prize Pool • The Prize Pool will be distributed in Canadian Dollars (CAD)

Conduct and Penalties. • All Participants must at all times observe the highest standards of personal integrity and good sportsmanship and act in a manner consistent with the best interests of the tournament, in each case as determined by Administration. Participants are required to behave in a professional and sportsmanlike manner in their interactions with other competitors, and members of the Administration, the media, sponsors and fans. • Participants may not use obscene or offensive gestures or profanity in their tags, player handles, game chat, live play communications, lobby chat, shoulder content, interviews, or other public-facing communications of any kind. This rule applies to all languages and includes abbreviations and/or obscure references. • Participants are expected to settle their differences in a respectful manner and without resort to violence, threats, or intimidation (physical or non-physical). Violence is never permitted at any time or place, or against any person including competitors, fans, referees and officials. • The obligation to behave in a professional and sportsmanlike manner includes an obligation on the part of Participants to arrive on time and ready to compete for all games, Matches and tournaments in the Tournament Schedule. It also prohibits forfeiting a game or Match without reasonable cause. Cheating and Game Integrity. • Participants must compete to the best of their skill and ability at all times. Any form of cheating by any Participants will not be tolerated. All Participants are prohibited from influencing or manipulating any game match (whether a Tournament match or otherwise) with the intent that any aspect of the match is determined by anything other than the competitive merits. Examples of cheating or behavior impacting game integrity are not exhaustive, and include without limitation: (a)Collusion, match fixing or any other action to intentionally alter, or attempt to alter, the results of any game, match or tournament (or any components thereof); (b) Attempts to interfere with another player’s connection to the game service through distributed denial of service (DDoS) or any other means; (c) Allowing an individual who is not the registered owner of a player account to play on that player account in a game and/or playing in a game while logged in to a player account registered to someone else; (d) Bot use, spot timing (e.g., not throwing the game, just timing a shot so bettors win), wintrading, drophacking, queue sniping and soft play on the ladder, ghosting (i.e., a game spectator illegally provides information about an opponent’s positions and/or movements), inducing another Participant to lose a match, and receiving leaked scrim footage and/or confidential or proprietary information of another Team; (e) Misuse or hacking of game servers; (f) Use of unauthorized or Restricted Items; (g) Violent, threatening or harassing behavior in any setting (h) Any other actions or conduct that threatens to undermine the integrity of challengers and its Teams. • Participants must at all times follow the Activision Software License Agreement, whether during a tournament match or otherwise. Participants are prohibited from violating the Activision Software License Agreement for personal or reputational gain, monetary gain, or for any other reason. Participants are not permitted to access the accounts of other individuals in order to artificially raise their competitive rank, or any other actions that violate the above software license agreement. Violations of this Section, whether during the course of a Toronto Ultra Tournament, during the Tournament breaks in schedule, or prior to such Participant’s entrance into the Tournament may result in discipline to be determined at the discretion of Administration. Illegal and/or Detrimental Conduct. • Participants are required to comply with all applicable laws at all times. • A Participant may not engage in any activity or practice which (i) brings him or her into public disrepute, scandal or ridicule, or shocks or offends a portion or group of the public, or derogates from his or her public image, or (ii) is, or could reasonably be expected to be, detrimental to the image or reputation of, or result in public criticism of or reflect badly on, the Administration, the Toronto Ultra, Activision any of their respective representatives, Challengers, the other Teams or their respective sponsors or members, the game or any other product or service of the Activision. For the avoidance of doubt, Participant affiliation with individuals, entities or brands that are detrimental to the image or reputation of Activision, the Administration, or any of their respective representatives, Challengers, the other Teams or their respective sponsors or members, the game or any other product or service of Activision, as determined by Administration, will be deemed as a violation of this provision and these Official Rules. A non-exhaustive list of such types of misconduct are as follows: (a) Actual or threatened violence toward a person, including domestic violence, partner violence, dating violence and child abuse; (b) Sexual assault and other types of sexual offenses; (c)Illegal possession or distribution of a weapon; (d) Possession, use or distribution of performance-enhancing substances; (e) Conduct that poses a danger to the safety of another person; (f) Animal cruelty; (g) Theft and other property crimes; (h) Crimes involving fraud or dishonesty. • Each Participant acknowledges that Administration and the Teams may have an obligation under applicable law to report illegal activities to local law enforcement authorities or respond to formal inquiries from law enforcement or judicial authorities in jurisdictions where suspected violations of law have taken place. • Anti-Harassment. (a) Administration is committed to providing a competitive environment that is free of harassment and discrimination. (b) In furtherance of this commitment, Participants are prohibited from engaging in any form of harassment or discrimination (either in-game or outside the game), including without limitation that which is based on race, color, religion, gender, national origin, age, disability, sexual orientation, gender identity, or any other class or characteristic. • Gambling. (a) Gambling on the outcome of games, matches or tournaments (including any components thereof) can pose a serious threat to the integrity of, and public confidence in Toronto Ultra. Participants as well as employees of Administration or Toronto Ultra are not allowed to (i) place, or attempt to place, bets on any games, matches or tournaments (or any components thereof) involving the teams in the tournament, (ii) associate with high volume gamblers, or deliver information to others that might influence their bets, or (iii) offer or accept any gift or reward to or from anyone for services promised, rendered, or to be rendered in connection with any match, including services related to defeating or attempting to defeat a competing Team or services designed to throw, fix or otherwise influence the outcome of any Franchise, game or Match, Toronto Ultra Tournament or otherwise. (b) This rule also prohibits Participants from participating in anyone else’s betting activities, asking anyone to place bets involving the team (including without limitation games, Matches or tournaments, or any components thereof) on a Participant’s behalf, or encouraging anyone else to bet involving the team (including without limitation games, Matches or tournaments, or any components thereof). • Non-Disparagement. (a) Participants have the right to express their opinions in a professional and sportsmanlike manner; provided, however, that Participants may not make public statements that call into question the integrity or competence of Match referees or Administration. (b) Participants may not at any time make, post, publish or communicate to any person or entity or in any public forum any false, defamatory, libelous, or slanderous remarks, comments or statements concerning Toronto Ultra, the Administration, any of their respective representatives, teams, the other teams or their respective sponsors or members. In addition, Participants may not encourage members of the public to engage in any activities that are prohibited by this Section. (c) This Section does not, in any way, restrict or impede a Participant from complying with any applicable law or a valid order of a court of competent jurisdiction or an authorized government agency, provided that such compliance does not exceed that required by the law or order. • Software and Hardware. (a) Any intentional use, or attempted use, by a Participant of any Bugs or exploits is strictly prohibited. Administration will determine, in its sole discretion, the Bugs and exploits prohibited by this rule and whether a Participant has taken advantage of a Bug or exploit in violation of this rule. (b) Participants are prohibited from installing third-party software of any kind on any hardware that would assist the Participants in achieving an advantage in any manner on the outcome of the Match or the Contest. • Reporting. Upon becoming aware of any conduct prohibited by this Section, Participants are required to immediately report the details to the Administration at [email protected] Failure to comply with this requirement is an independent violation of these Contest Rules. • Prize Awards. • Distribution of Prize Awards. A description of the potential prizes is set forth in these Contest Rules. The awarding of prizes is void where prohibited or restricted. Subject to these Official Rules, Team prizes will be awarded either equally to each of the Participants on a winning Team or to the team leader, as elected by the Team (with any discrepancies regarding the team’s election determined by the Administration in its sole discretion). Potential winners (“Potential Winners”) are limited to one prize package per Online Tournament. Prizes are non-transferable and not exchangeable for any other prize. All cash prizes will be paid in American Dollars. Potential Winners who are eligible for the award of a prize assume all liability for the use of the prize. • Requirements to Collect a Prize Award. Potential Winners must comply with these Contest Rules and winning is contingent upon fulfilling all requirements. Potential Winners shall have no right to any prize unless the conditions set forth in these and any other applicable rules are satisfied. Potential Winners will be notified after the end of an applicable online tournament. Each Potential Winner is required to follow the instructions in the notification. In order to be eligible to claim a prize, each Potential Winner of a prize will be required to fill out and sign, within the prescribed period of time in the notification, an affidavit of eligibility and liability/publicity release form, as well as all applicable governmental and tax forms required to receive a prize. Following Administration’s verification of eligibility and compliance with the terms of these Contest Rules, the Potential Winner will be declared the winner of the prize. Prizes will be fulfilled approximately 8 – 10 weeks after conclusion of the event and receipt of all necessary documentation. If a Potential Winner cannot be contacted, does not respond, or fails to sign and return the required documentation within fourteen (14) days of the first notification attempt, the Potential Winner forfeits his or her eligibility to claim a prize and no substitutes will be made available. • Costs Associated with Collecting a Prize Award. Participants are responsible for any and all costs and expenses associated with their prize that are not specifically set forth herein. National, provincial, and local taxes, including GST, which are associated with the receipt or use of any prizes are the sole responsibility of the Participant. Witholding taxes may apply. Disciplinary Action. • Investigation of and Right to Monitor Compliance. To preserve the integrity of the competition, the Administration will have the right to monitor compliance with these Contest Rules, investigate possible breaches of these Contest Rules and impose sanctions for violations. Participants agree to cooperate with the Administration in any such investigation. The failure by a Participant to cooperate with any internal or external investigation conducted by Administration or its designee relating to a violation of these Contest Rules is itself a violation of these Contest Rules, including without limitation being untruthful or withholding, tampering with or destroying evidence. • Subjection to Penalty. Any violation of the Contest Rules by one or more members of a Team or by a team owner, if any, will be subject to penalty. The nature and extent of penalties imposed will be determined by the Administration. All decisions of Administration regarding rules violations or other issues regarding the Tournament, are in its sole discretion and are final. • Penalties. Penalties for rule violations will be assessed by the Administration. These penalties will vary in range between loss of side or map selection, tournament disqualification in direct relation to the severity of the offense and the number of offenses committed previously by the same Team. The following is a non-exhaustive list of penalties that may be enforced at the discretion of the Administration: Verbal Warning(s) Written Warning(s) Suspension(s) Loss of Side Selection for Current or Future game(s) Ban for Current or Future matches and events Prize Forfeiture(s) Game Forfeiture(s) Match Forfeiture(s) Tournament Disqualification • Cancellation: Administration reserves the right to cancel, suspend, withdraw or amend this Contest in any way, without prior notice or obligation, in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of the Administration that interferes with the proper conduct of this Contest as contemplated by these Contest Rules. Any attempt to deliberately undermine the legitimate operation of this Contest is a violation of criminal and civil laws and should such an attempt be made, the Administration reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution. • Intellectual Property: All intellectual property, including but not limited to trademarks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, logos, slogans and representations are owned by Activision, the Administration, and/or by their affiliates and subsidiaries, as the case may be. All rights are reserved by the appropriate owner. Unauthorized copying or use of any copyrighted material or intellectual property without the prior and express written consent of its owner is strictly prohibited. • Questions regarding the contest rules should be addressed to [email protected]
